Jessica provides full range of transactional legal assistance to long-standing multi-program community-based non-profit organizations including representation in corporate, tax, administrative and regulatory matters, and contract negotiation, drafting, and interpretation. She is the in-house general counsel to organizations as well as project counsel on community and economic development projects such as community based primary health care center facilities, public and private schools and affordable low-income housing development, including title acquisition; rehabilitation, construction and permanent loan financing; project management; low income housing tax credit syndication; new market tax credit syndication; HUD Section 202 elderly housing; various HPD small homes construction and re-sale programs; public-private join ventures; and bond financing.
Jessica is the legal representative and consultant to new community based organizations, including selection of appropriate organizational structure, corporate formation and governance, obtaining tax exemption, advising on regulatory compliance, directors and officers responsibilities and liabilities, funding, organizational development and employment issues. She supervises and provides on-going training to CED Program’s staff attorneys, externs and student interns.
Jessica also serves as member of senior management; assisting with strategic planning, fundraising, grant reporting, administration, reporting to the Board and cultivating relationships with multiple stakeholders including elected officials and advisory board members of Brooklyn A’s Young Professionals for Justice.
